End User License Agreement (EULA)

IMPORTANT: PLEASE READ THIS LICENSE CAREFULLY BEFORE USING THE TEMPLATE.

1. **Grant of License:**

   Subject to the terms and conditions of this Agreement, Framer Commerce (the "Licensor") grants you (the "Licensee") a non-exclusive, non-transferable, limited license to use the CLARO (the "Template") according to the package type you have purchased: Basic, Pro, or All-access. It is the responsibility of the Licensee to comply with the terms of their respective license.

2. **Restrictions:**

   By accepting this Agreement, you acknowledge and agree to the following restrictions:

   a. **No Redistribution or Resale:** The Licensee may not redistribute, sublicense, share, or sell the Template, modified or unmodified, in its original or any altered form. The Licensee may not resell or offer the Template for sale, either in its original form or as part of a derivative work.

   b. **No Third-Party Access:** The Licensee is granted a license to use the Template for a single site. If the Licensee transfers ownership or control of the site to another person or entity, the Licensee's rights to use the Template are also transferred to the new owner. Subsequently, the Licensee may not use the Template in any other project.

   c. **No Violation of Laws:** The Licensee may not use the Template in a way that violates any applicable laws or regulations.

3. **Ownership:**

   The Template is the intellectual property of the Licensor and is protected by copyright laws and international treaty provisions.

4. **Warranty Disclaimer:**

   The Template is provided "as is," without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. The Licensor does not warrant that the Template will meet the Licensee's requirements or that the operation of the Template will be uninterrupted or error-free.

5. **Limitation of Liability:**

   In no event shall the Licensor be liable for any direct, indirect, incidental, special, exemplary, or consequential damages (including, but not limited to, procurement of substitute goods or services; loss of use, data, or profits; or business interruption) however caused and on any theory of liability, whether in contract, strict liability, or tort (including negligence or otherwise) arising in any way out of the use of the Template, even if advised of the possibility of such damage.

6. **Third-Party Platforms Disclaimer:**

   The Licensor shall not be responsible for any changes, limitations, or interruptions caused by third-party platforms such as Shopify or Framer. This includes changes to APIs, architectural modifications, or any actions taken by these platforms that affect the use or functionality of the Template. The Licensor shall not provide refunds or compensation for such platform-related issues.

7. **Mandatory Package Upgrades:**

   If you exceed the usage limits of the package you have purchased, you are REQUIRED to upgrade to a higher tier that accommodates your usage. Using a lower-tier package to exceed the intended limits is STRICTLY PROHIBITED and constitutes a violation of this Agreement. Failure to upgrade to a suitable package may result in the termination of your license.

8. **Multi-Site Usage:**

You are NOT permitted to use the Template across multiple sites, if it includes any Shopify-related functionality. If you wish to use the Template in a different site, you must remove all Shopify-related pieces before using elsewhere.

9. **Termination:**

   This License is effective until terminated. The Licensor may terminate the License at any time if the Licensee breaches any of its terms. Upon termination, the Licensee must cease all use of the Template and destroy all copies.

10. **Governing Law:**

   This Agreement shall be governed by and construed in accordance with the laws of Ontario, Canada. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

11. **Severability:**

If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement will remain in full force and effect. The invalid or unenforceable provision shall be deemed to be replaced by a valid and enforceable provision that comes closest to the intention of the original provision.
